Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Context Repo ("we," "us," or "our") governing your access to and use of the Context Repo web application at contextrepo.com, the Context Repo MCP Server, the Context Repo Chrome Extension, all associated APIs, and any related services (collectively, the "Service").
By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Service.
2. Eligibility
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
3. Definitions
- "User Content" means any prompts, documents, collections, text, files, URLs, or other materials that you create, upload, submit, or transmit through the Service.
- "MCP Server" means the Model Context Protocol server operated by Context Repo that exposes tools for programmatic access to the Service by AI clients and agents.
- "Chrome Extension" means the Context Repo browser extension for Google Chrome that enables page capture and content submission to the Service.
- "API Key" means any authentication credential issued to you for programmatic access to the Service.
- "Subscription" means a paid plan that grants access to premium features of the Service.
4. Account Registration and Security
To use the Service, you must create an account through our authentication provider. You are solely responsible for:
- Maintaining the confidentiality of your account credentials and API Keys
- All activities that occur under your account, whether or not authorized by you
- Notifying us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate your account at any time if we reasonably believe that your account has been compromised or is being used in violation of these Terms.
5. Subscriptions, Billing, and Payments
Certain features of the Service require a paid Subscription. By selecting a Subscription, you agree to the following:
- Free Trial: We may offer a limited free trial period. At the end of the trial, your Subscription will automatically convert to a paid plan unless you cancel before the trial expires.
- Recurring Billing: Subscriptions are billed on a recurring basis (monthly or annually) at the rate displayed at the time of purchase. You authorize us to charge your payment method on each billing cycle.
- Price Changes: We reserve the right to change Subscription pricing at any time. Price changes will take effect at the start of your next billing cycle after notice is provided.
- Cancellation: You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until the end of that period.
- No Refunds: All payments are non-refundable except where required by applicable law. No credits or refunds will be issued for partial billing periods, downgrades, or unused features.
Payment processing is handled by our third-party billing provider. We do not store your full payment card details.
6. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Upload, transmit, or store any content that is unlawful, defamatory, obscene, fraudulent, or that infringes upon any intellectual property or privacy rights
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service
- Circumvent, disable, or interfere with any security, rate-limiting, or access-control features of the Service
- Use the Service to build a competing product or service, or to systematically scrape, copy, or replicate the Service's functionality
- Use automated means (bots, crawlers, scripts) to access the Service in a manner that exceeds reasonable use or abuses API rate limits
- Introduce viruses, malware, or any other harmful code through the Service
- Share your account credentials or API Keys with unauthorized third parties
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this section, including removal of content, suspension, or termination of access without notice or refund.
7. User Content
You retain all ownership rights in your User Content. By submitting User Content to the Service, you grant Context Repo a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, process, reproduce, and display your User Content solely as necessary to operate, maintain, and provide the Service to you (including generating embeddings, enabling search, and facilitating AI-powered features such as Collection Chat).
You represent and warrant that you own or have the necessary rights to all User Content you submit, and that your User Content does not violate these Terms or any applicable law. We are not responsible for reviewing, monitoring, or verifying the accuracy, completeness, or legality of any User Content.
We may delete User Content at any time if we believe it violates these Terms. Upon termination of your account, we may delete your User Content in accordance with our data retention practices.
8. Intellectual Property
The Service, including all software, code, design, text, graphics, logos, trademarks, and other materials (excluding User Content), is the exclusive property of Context Repo or its licensors and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
9. API and MCP Server Usage
Access to the Service via API Keys or the MCP Server is subject to these Terms and any additional usage policies we may publish. You acknowledge and agree that:
- API and MCP access is subject to rate limits and usage quotas that may vary by Subscription tier
- We may modify, deprecate, or discontinue API endpoints or MCP tools at any time with or without notice
- You are solely responsible for all actions performed through your API Keys, including actions by AI agents or third-party clients operating on your behalf
- API Keys are confidential credentials; you must not embed them in client-side code, public repositories, or any publicly accessible location
10. Third-Party Services
The Service integrates with and relies upon third-party services, including but not limited to Clerk (authentication and billing), Convex (database infrastructure), Firecrawl (web scraping), and various AI model providers. These third-party services are governed by their own terms of service and privacy policies.
We are not responsible for the availability, accuracy, or performance of any third-party service. You acknowledge that interruptions, errors, or changes in third-party services may affect the Service, and that we shall have no liability for any such impact.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CONTEXT REPO EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND QUIET ENJOYMENT.
Without limiting the foregoing, we do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components; that any defects will be corrected; that the results obtained from use of the Service will be accurate or reliable; or that the Service will meet your specific requirements.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CONTEXT REPO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF CONTEXT REPO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL CONTEXT REPO'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO CONTEXT REPO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the greatest extent permitted by law.
13. Indemnification
You agree to indemnify, defend, and hold harmless Context Repo and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, demands, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your use of or access to the Service
- Your User Content
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any activity conducted through your account or API Keys, whether or not authorized by you
14. Binding Arbitration and Class Action Waiver
Binding Arbitration
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted in Maricopa County, Arizona, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver
YOU AND CONTEXT REPO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING.
Opt-Out
You may opt out of this arbitration provision by sending written notice to us within thirty (30) days of first accepting these Terms. Your notice must include your name, account identifier, and a clear statement that you wish to opt out of binding arbitration. If you opt out, either party may pursue claims in the courts specified in Section 15.
Exceptions
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.
15. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of Arizona, United States of America, without regard to its conflict of law provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Maricopa County, Arizona.
16. Termination
We may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice, including but not limited to breach of these Terms. Upon termination:
- Your right to access and use the Service ceases immediately
- We may delete your account and User Content in accordance with our data retention practices
- All provisions of these Terms that by their nature should survive termination shall survive, including Sections 7, 8, 11, 12, 13, 14, 15, and this Section 16
You may terminate your account at any time by discontinuing use of the Service and, if applicable, canceling your Subscription.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. If we make material changes, we will update the "Effective date" at the top of this page and may notify you through the Service or by other reasonable means. Your continued use of the Service after such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
18. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Context Repo regarding the Service and supersede all prior agreements and understandings.
- Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
- No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Context Repo.
- Force Majeure: Context Repo shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, war, terrorism, riots, embargoes, acts of governmental authorities, power failures, internet outages, or third-party service disruptions.
